1. Who we are and what these terms cover
We are gecco Ltd, a company registered in England under company number 15748830. Our registered office is at 27 Old Gloucester Street, London, WC1N 3AX. We operate the website at www.geccohq.com.
These terms govern your use of that website and nothing else. They set out the rules for visiting the Site, reading and downloading what we publish there, and using the tools we make available on it.
By using the Site, you accept these terms. If you do not accept them, please stop using the Site.
The Site is aimed at business users. By using it, you confirm that you are acting in the course of a business or profession. You must be at least 18 years old to use the Site.
We suggest you keep a copy of these terms. The version published on the Site is always the current one.
You can contact us at info@geccohq.com.
2. These terms do not govern our services
This is the most important clause in this document, so please read it before anything else.
These terms govern use of the Site. If you have a signed engagement with gecco, that engagement is governed by the Proposal, the OSLA and the NDA/DPA. Those documents prevail over these terms for everything relating to the Services. If you are a client, your Proposal names them and tells you where to find them.
These terms are not part of the Contract. They are not incorporated into it, and the Contract does not incorporate them. Nothing in these terms limits, varies or adds to what we owe you under the Contract.
Within the Contract, the following applies.
Each document in the Contract governs its own subject matter.
(a) The Proposal governs the commercial terms, meaning price, scope, deliverables, payment schedule and dates.
(b) The OSLA governs all other matters, including intellectual property, liability, warranties, service levels and termination.
(c) The NDA/DPA governs confidentiality and the processing of personal data.
Where a document contains a term outside its own subject matter, that term has no effect. Where two documents genuinely conflict within the same subject matter, the document that owns that subject matter prevails.
Nothing published on the Site varies the Contract. Pricing pages, service descriptions, sample outputs, case studies and downloadable resources are general information. They do not form part of any contract with you unless your Proposal says so.
You cannot buy anything through the Site. If you pay us, you pay under the Contract, and the payment terms in your Proposal apply.
3. Definitions
In these terms:
"gecco", "we", "us", "our" means gecco Ltd, registered in England under company number 15748830, whose registered office is at 27 Old Gloucester Street, London, WC1N 3AX.
"you", "your" means the person or organisation accessing or using the Site. This is deliberately different from the Contract, where "you" means the Client, being the organisation named in the Proposal. These terms govern the Site only, so the Site meaning applies throughout this document.
"Proposal" means the gecco proposal, service order or contract document signed by you, whatever it is titled, which sets out the commercial terms.
"OSLA" means the gecco Online Subscription and Licensing Agreement that your Proposal incorporates.
"NDA/DPA" means the gecco Mutual Non-Disclosure and Data Processing Agreement that you have signed with gecco or that your Proposal incorporates.
"Contract" means the Proposal, the OSLA and the NDA/DPA together.
"Services" means the design, deployment, maintenance, training and consultancy gecco provides under the Contract.
"Privacy Policy" means the gecco privacy notice published at https://www.geccohq.com/privacy-policy.
"Site" means www.geccohq.com.
"Content" means everything we publish on the Site, including text, images, video, audio, graphics, design, software, databases and downloadable resources.
"Marks" means our trade marks, service marks, logos and brand names.
"Site Tools" means any automated or AI-assisted tool we make available on the Site, such as an assessment, a calculator or a quiz.
These terms cover the Site. They do not cover any separate gecco platform that has its own terms of use.
4. Changes to these terms and to the Site
We may change these terms. We will update the version number and the date at the top of this document. The current version is the one published on the Site.
If we make a change that materially affects your rights, we will take reasonable steps to bring it to your attention. If you continue to use the Site after a change takes effect, you accept the change.
Changes to these terms never change the Contract. The Contract is varied only in the way each Contract document provides for.
We may change, update or remove Content on the Site at any time. We are not obliged to keep any part of the Site up to date, although we try to.
5. Your right to use the Site
Provided you comply with these terms, we grant you a non-exclusive, non-transferable, revocable licence to:
(a) access and view the Site; and
(b) download or print Content you have properly accessed.
You may use Content for your own internal business purposes. That includes sharing a downloaded resource with colleagues inside your organisation.
You may not:
(a) resell, license, rent or otherwise commercially exploit the Content;
(b) republish the Content, in whole or in part, outside your organisation without our written permission;
(c) present the Content as your own work, or remove our branding from it; or
(d) use the Content to build, train or market a product or service that competes with ours.
If we give you permission to reproduce or display any part of the Site or the Content, you must identify us as the owner or licensor and keep any copyright or proprietary notice visible.
To request permission, email info@geccohq.com.
We reserve all rights not expressly granted in this clause.
6. Our content and marks
We own, or are licensed to use, all intellectual property rights in the Content and the Marks. They are protected by copyright, trade mark and other laws in the United Kingdom and elsewhere.
Nothing in these terms transfers any intellectual property right to you.
This clause covers the Site only. Intellectual property in anything we build for you under an engagement is governed by the OSLA, not by these terms.
7. Material you send us through the Site
You may send us information through the Site, for example by completing a form, downloading a resource or asking a question.
You keep all rights in what you send us. We do not claim ownership of your questions, comments, ideas or feedback. If you give us general feedback about the Site or our published material, we may use it to improve what we do.
Please do not send confidential information through the Site. Site forms are not a secure channel. If you have a signed engagement with gecco, confidentiality is governed by the NDA/DPA, and confidential material should go through the channels agreed in that engagement.
Please do not send us personal data about other people unless you have a lawful basis for doing so.
You are responsible for what you send us. It must be lawful, accurate to the best of your knowledge, and must not infringe anyone else's rights.
8. Acceptable use
You agree not to:
(a) use the Site for any unlawful purpose, or in breach of any applicable law or regulation;
(b) systematically extract or scrape Content in order to build a collection, compilation or database, without our written permission;
(c) use the Content to train or fine-tune a machine learning or AI model, without our written permission;
(d) access the Site by automated means, including bots, crawlers, scrapers and offline readers, except for standard search engine indexing;
(e) attempt to gain unauthorised access to the Site, its servers, or any system or network connected to it;
(f) interfere with, disable or circumvent any security feature of the Site;
(g) upload or transmit any virus, malware or other harmful code;
(h) do anything that places an unreasonable load on the Site, or that disrupts its availability for others;
(i) copy, adapt, decompile, disassemble or reverse engineer any software forming part of the Site, except where the law allows it;
(j) remove or obscure any copyright or proprietary notice;
(k) frame the Site, or link to it in a way that suggests an association, approval or endorsement we have not given;
(l) impersonate any person, or misrepresent who you are or who you work for;
(m) submit false or misleading information through a form on the Site;
(n) use the Site to send spam or unsolicited marketing; or
(o) harass, threaten or abuse our people.
Breaching this clause is a material breach of these terms. Clause 13 sets out what we may do about it.
9. Automated tools on the Site
Some parts of the Site use Site Tools. The following applies to all of them.
Site Tools give indicative, general output. They rely on the information you enter and on general models and rules. They can be wrong, incomplete or out of date.
Output from a Site Tool is not advice. It is not a proposal, a quote or a commitment. It does not bind us to any price, scope or outcome. What we agree to do for you is set out in the Proposal.
Check anything important before you act on it.
Only enter what a Site Tool asks for. Do not enter special category data, confidential information, or personal data about other people.
Do not attempt to reverse engineer a Site Tool, or to extract the models, rules or data behind it.
We may change, suspend or withdraw any Site Tool at any time.
Where a Site Tool relies on a third-party service, your use of that service may also be governed by that provider's own terms. We make no statement about how any third-party provider operates or handles data. You are responsible for reviewing and accepting those terms and confirming the current position directly with the provider.
10. Site content is general information
The Content is published for general information. It is not legal, regulatory, financial, technical or professional advice, and you should not treat it as advice about your own circumstances.
Do not act on the Content without taking advice suited to your situation.
The Site may contain typographical errors, inaccuracies or omissions. We may correct them at any time without notice.
11. Third-party websites and content
The Site may link to websites, resources and content operated by other people.
We do not check, monitor or endorse those websites or that content. We include a link because it may be useful, not because we approve of it.
If you follow a link away from the Site, these terms stop applying. You should read the terms and privacy information of any website you go to.
We are not responsible for third-party websites or third-party content, or for anything you buy or download from them. That is a matter between you and the third party.
12. Availability of the Site
We provide the Site free of charge. We do not promise that it will always be available, or that it will be uninterrupted or error free.
We may suspend, withdraw or restrict all or part of the Site for business or operational reasons, including maintenance and security work. Where we can, we will give reasonable notice.
You are responsible for the arrangements you need to access the Site, and for making sure that anyone accessing it through your connection knows these terms.
13. Suspending or withdrawing access to the Site
We may suspend or withdraw your access to the Site, or to part of it, if:
(a) you breach clause 8;
(b) we reasonably believe your use of the Site threatens its security, availability or integrity; or
(c) we are required to do so by law, by a court, by a regulator or by a supplier we depend on.
We will tell you before we act, and explain why. We will act without notice only where the issue is urgent, for example an active security threat, or where giving notice would be unlawful.
Any action we take will be proportionate to the problem, and no wider than we need. We will restore your access once the reason for the action has been resolved.
This clause applies to the Site only. It does not apply to a paid engagement. We cannot suspend, restrict or terminate the Services under this clause. Termination and suspension of the Services are governed by the OSLA.
Nothing in this clause affects our obligations as a processor of your personal data. Where the NDA/DPA applies, our duties to secure, return or delete personal data continue in full. We will not delete your data, or material you have given us under an engagement, because of a dispute about your use of the Site.
You can stop using the Site at any time.
14. Disclaimer
The Site is provided as it is and as available.
To the fullest extent permitted by law, we exclude all implied warranties, conditions and terms that might otherwise apply to the Site, including any implied term as to satisfactory quality, fitness for a particular purpose, accuracy or non-infringement.
This clause covers the Site. Warranties relating to the Services are set out in the OSLA.
15. Our liability to you
Nothing in these terms excludes or limits our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability that cannot be excluded or limited under the law of England and Wales.
Subject to that, and because we provide the Site free of charge:
(a) we are not liable for loss of profit, loss of business, loss of contracts, loss of goodwill, loss of anticipated savings, or loss or corruption of data, arising from your use of the Site or from your reliance on any Content or Site Tool; and
(b) our total liability to you for all claims arising out of or in connection with your use of the Site is limited to the greater of £100 and the total fees you have paid us in the 12 months before the event giving rise to the claim.
These terms cover the Site only. Any claim relating to the Services is governed by the OSLA, including its exclusions and its cap. Nothing in this clause varies that cap.
The Site is aimed at business users. If, despite clause 1, you access the Site as a consumer, nothing in these terms affects your statutory rights.
16. Your liability to us
If you breach clause 8, or use the Site unlawfully, you will reimburse us for the reasonable losses, costs and expenses we incur as a direct result, including reasonable legal costs.
We will notify you promptly of any claim to which this clause applies. We will not settle it without first consulting you. You may take over the defence of the claim, at your cost, with our written consent, which we will not unreasonably withhold.
This clause is limited to your use of the Site. It does not apply to the Services.
17. Privacy and cookies
How we handle personal data is described in our Privacy Policy at https://www.geccohq.com/privacy-policy.
How we use cookies is described in our Cookie Policy at https://www.geccohq.com/cookies-policy.
Both documents are notices. They tell you what we do and explain your rights. They are not contract terms. They are not incorporated into these terms, and they are not incorporated into the Contract. Nothing in either document creates an obligation on you.
Where we process personal data on your behalf under an engagement, that processing is governed by the NDA/DPA.
18. Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales.
You and gecco both agree to submit to the non-exclusive jurisdiction of the courts of England and Wales.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. Resolving disputes
If a dispute arises about the Site or these terms, we will try to sort it out in this order.
Talk first. Either of us may start by giving the other written notice of the dispute. We will then try to resolve it by discussion for at least 30 days before starting formal proceedings.
Then mediation. If discussion does not work, either of us may refer the dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR), under the CEDR Model Mediation Procedure. Unless we agree otherwise, CEDR will nominate the mediator. We will share the cost of the mediation equally, unless the mediator directs otherwise.
Then the courts. If mediation has not resolved the dispute within 60 days of the mediator being appointed, or within any longer period we agree, either of us may start proceedings in the courts of England and Wales.
This clause does not apply to:
(a) a claim to enforce, protect or establish the validity of intellectual property rights;
(b) a claim arising from unauthorised access to, or misuse of, the Site; or
(c) an application for injunctive relief.
Either of us may bring those claims in court straight away.
20. General
Entire agreement. These terms are the entire agreement between you and gecco about your use of the Site. They are not the entire agreement about anything else. If you have a signed engagement with gecco, the entire agreement for that engagement is the Contract, and each Contract document says so for its own subject matter.
Assignment. We may transfer our rights and obligations under these terms to another organisation, for example if our business or part of it is sold or reorganised. We will tell you if that happens, and the transfer will not reduce your rights under these terms. You may transfer your rights and obligations under these terms with our written consent, which we will not unreasonably withhold or delay.
Severance. If a court finds any part of these terms unlawful, void or unenforceable, that part is treated as deleted. The rest continues to apply.
Waiver. If we do not insist that you do something you are required to do under these terms, or if we delay in enforcing a right, that does not mean we have given up the right.
No partnership. These terms do not create a partnership, joint venture, employment or agency relationship between you and gecco.
Third parties. No person who is not a party to these terms has any right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
Events outside our control. We are not liable for any failure or delay caused by something beyond our reasonable control.
Electronic communications. Visiting the Site, emailing us and completing forms on the Site are electronic communications. You agree that notices and other communications we send you electronically meet any legal requirement that they be in writing.
